In the context of the COVID-19 epidemic and in view of the administrative measures limiting and/or prohibiting collective travel or gatherings for health reasons, Natixis is unable to physically bring together its shareholders, particularly in view of the closure of conference and meeting rooms, the obligation to respect physical distancing measures and the number of people usually present at the Company’s General Shareholders' Meetings.

The Natixis Combined General Shareholders' Meeting will therefore be held behind closed doors, on Friday, May 28, 2021 at 3 p.m. at the registered office, 30 avenue Pierre Mendès France - 75013 Paris, France, without the shareholders and other persons entitled to attend the meeting being physically present.

This decision is made in accordance with (i) the provisions of Article 4 of Order No. 2020-321 of March 25, 2020 adapting the rules governing meetings and deliberations of general meetings and governing bodies of legal entities and unincorporated entities under private law due to the COVID-19 epidemic and (ii) the related Decree No. 2020-418 of April 10, 2020, it being stipulated that the period of application of the above-mentioned Order and Decree was extended by Decree No. 2021-255 of March 9, 2021.

Shareholders are invited to regularly consult the section dedicated to the General Shareholders' Meeting on this Company’s website, which will be updated to specify the definitive arrangements for organizing the General Shareholders’ Meeting and/or to adapt them to legislative measures. and regulatory requirements depending on health and/or legal requirements.

 


  • The list of shareholders drawn up by the Company as at the 16th day before the Meeting is available in accordance with Art. L. 225-116 and R. 225-90 of the French Commercial Code).

 

Access conditions to the platform intended to ask questions prior to the Meeting

Following the various communications and the Meeting Notice published on April 6th, Natixis shareholders are invited to ask their questions prior to the Shareholders’ Meeting of May 28, 2021. 

In order to favour the shareholders’ dialogue and as a complement for the legally supervised mechanism of written questions, Natixis will open to this effect a platform dedicated to shareholders prior to the Shareholders’ Meeting, on which shareholders will have the possibility to ask their questions from Monday May 24th 2021 and until the day before the Shareholders’ Meeting, Thursday May 27th 2021 at 3pm Paris time.

The Senior Management will endeavor to bring as many answers as possible during the Shareholders’ Meeting; the questions will be processed according to the themes retained by the shareholders.

This platform which will be opened from May 24th 2021 at 9am Paris time is limited to the Company’s shareholders.

Shareholders wishing to ask a question will be invited to log in and to sign in via the platform, so as to enable CACEIS Corporate Trust, the custody account keeper, to check their shareholder status:

  • Shareholders having previously voted via the platform Votaccess, will be asked to enter a segment of their Votaccess reference code to sign in. 
  • All the remaining shareholders having voted by correspondence or having not previously voted will be asked to enter their personal data (first name, surname and address), their e-mail address, to produce an identification and, for bearer shareholders, to produce a shareholding certificate proving their shareholder status.

 

As well as the dedicated web portal aiming to guide shareholders step by step, a hotline will be available.

Natixis' Shareholders' Meeting was held in closed session on May 20, 2020 and following the European Central Bank's (ECB) recommendations, Natixis has decided not to pay out a dividend of 0.31 € for the fiscal year 2019.
